Xoan 1.5 Percent Cash Back Rewards Program Terms and Conditions

These Xoan 1.5 Percent Cash Back Rewards Program Terms and Conditions ("Rewards Terms") govern participation in the Xoan cash back rewards program (the "Program"). The Program is offered by Xoan Technology Inc. and its affiliates ("Xoan," "we," "us," or "our") in connection with eligible Xoan-issued payment cards ("Card").
By using a Card or participating in the Program, you agree to these Rewards Terms, the applicable Cardholder Agreement, the Xoan Terms of Service, and all other Xoan policies, as amended from time to time.
1. Program Description
Eligible cardholders may earn cash back rewards equal to one and one-half percent (1.5 percent) of the net amount of certain qualifying Card purchase transactions ("Cash Back Rewards"), subject to these Rewards Terms.
Cash Back Rewards are promotional incentives only. They are not interest, not earnings, and not a deposit, investment, yield, or return on funds.
2. Eligibility and Account Standing
Participation in the Program is limited to cardholders whose Card and affiliated Xoan account are active, open, and in good standing at the time rewards are calculated and credited.
Xoan determines eligibility and compliance in its sole discretion and may suspend, restrict, or terminate participation in the Program at any time, including for suspected misuse, abuse, fraud, or violation of any Xoan agreement.
3. Eligible Transactions
Cash Back Rewards are earned only on qualifying purchase transactions that meet all eligibility requirements ("Eligible Transactions").
3.1 Merchant Category Code Determination
Eligibility is determined solely by the merchant category code ("MCC") assigned to the transaction by Mastercard, the merchant, the merchant acquirer, or the payment processor. Xoan does not assign MCCs and does not guarantee their accuracy.
Eligible Transactions must be classified under one or more of the following MCCs at the time of authorization or settlement:

1520 General Contractors
1711 Heating, Plumbing, and Air Conditioning Contractors
1731 Electrical Contractors
1740 Masonry, Stonework, Tile, Plastering, and Insulation Contractors
1750 Carpentry Contractors
1761 Roofing, Siding, and Sheet Metal Contractors
1771 Concrete Work Contractors
1799 Special Trade Contractors, Not Elsewhere Classified
Construction Materials and Building Supplies
5039 Construction Materials, Not Elsewhere Classified
5211 Lumber and Building Materials Stores
5231 Glass, Paint, and Wallpaper Stores
5251 Hardware Stores
5261 Lawn and Garden Equipment and Supplies Stores
5713 Floor Covering Stores
Xoan may modify eligible MCCs at any time, with or without notice.
3.2 Nature of Goods and Services
Even if a transaction is processed under an eligible MCC, Cash Back Rewards apply only to purchases reasonably related to construction, renovation, repair, or maintenance of real estate projects.
Xoan is not required to perform item-level, receipt-level, or SKU-level validation and may rely exclusively on transaction data provided by Mastercard or related processors.
4. Excluded Transactions
Cash Back Rewards are not earned on:
Cash advances or cash-equivalent transactions
ATM withdrawals
Peer-to-peer or person-to-person transfers
Fees, interest, penalties, or adjustments
Returns, refunds, chargebacks, or disputed transactions
Government payments, tax payments, or regulatory fees
Insurance premiums
Legal, accounting, consulting, architectural, or engineering services
Advertising, marketing, software, subscriptions, or digital services
Fuel, transportation, travel, lodging, meals, or entertainment
Utilities or telecommunications services
Personal, consumer, or non-project-related transactions
Transactions that are reversed, voided, or adjusted after posting
Xoan may exclude additional transaction types at any time in its sole discretion.
5. Reward Calculation and Credit Timing
Cash Back Rewards are calculated monthly based on settled Eligible Transactions, net of credits, refunds, and returns.
Rewards are generally credited within thirty (30) days following the end of the applicable calendar month. Credit timing is an estimate only and is not guaranteed.
Rewards are automatically credited to the Xoan account associated with the Card used for the Eligible Transaction.
If a transaction is later refunded, reversed, or reclassified, Xoan may deduct the corresponding reward amount from future rewards or directly from the affiliated Xoan account.
6. Account Closure and Forfeiture
If a Card or affiliated Xoan account is closed, suspended, restricted, or terminated for any reason before rewards are credited, all pending and uncredited rewards are forfeited.
No compensation is provided for forfeited rewards.
7. Abuse, Misuse, and Fraud
Xoan may withhold, reverse, or deny rewards if it reasonably determines that a cardholder engaged in abuse, misuse, manipulation, or fraudulent activity, including attempts to route ineligible transactions through eligible merchants or MCCs.
Xoan’s determinations are final and binding.
8. Taxes
Cardholders are solely responsible for any tax obligations arising from Cash Back Rewards. Xoan does not provide tax advice and may report rewards to tax authorities if required by law.
9. Program Changes and Termination
Xoan may modify, suspend, or terminate the Program, the reward rate, eligibility criteria, or these Rewards Terms at any time, to the maximum extent permitted by law.
10. No Transfer or Cash Equivalence
Cash Back Rewards may not be transferred, assigned, or sold. Rewards have no cash value until credited and are credited solely as account adjustments within the Xoan platform.
11. Network Disclaimer
Mastercard, Stripe, and Celtic Bank are not sponsors of the Program and are not responsible for reward fulfillment, administration, or disputes related to the Program.
12. Limitation of Liability
To the fullest extent permitted by law, Xoan disclaims all liability arising from or related to the Program, including inaccuracies in MCC assignment, merchant data errors, system issues, or delayed or missed rewards.
13. Governing Law
These Rewards Terms are governed by the law specified in the applicable Cardholder Agreement.
